With ROE of 1.4%, an 83x earnings multiple, a 13% premium to NAV, no reinvestment flywheel, negligible dividends, no buyback discipline, and 100% concentration in related-party Tata Group equities, this vehicle offers derivative exposure to a high-quality group at the worst possible structural terms. The 10-year base case return of 1.5–2x is deeply inferior to direct Tata Group equity ownership, and the risk of further valuation compression — given that premiums to NAV are historically unsustainable for passive IHCs — makes the risk/reward asymmetry firmly negative.”
