“Edelweiss is mid-transformation toward a capital-light alternatives model that is directionally sound but fundamentally undermined by a 2024 SEBI enforcement action alleging systematic NPA evergreening, retroactively compromising reported earnings quality, sub-cost-of-capital consolidated ROE, 350x debt/equity, and a governance record that is materially and possibly permanently impaired. The alternatives franchise has genuine value, but it cannot be cleanly separated from the conglomerate's liabilities by a minority public market investor, and the stock's apparent cheapness on forward earnings is unreliable given the earnings quality problem. Capital is far better deployed in cleaner alternatives or wealth management franchises with superior governance and above-cost-of-capital returns.”
